RULES FOR THE PRODIGY FINANCE REFERRAL PROGRAMME

By participating in the Prodigy Finance Referral Campaign (the “Referral Programme”), you agree to be bound by these official rules (“Rules”) and our Privacy Policy. THIS REFERRAL PROGRAMME IS VOID IN JURISDICTIONS WHERE IT IS PROHIBITED.

The promoter of the Referral Programme is Prodigy Finance Ltd (incorporated in England with company number 05912562), with its registered address at 85 Great Portland Street, London, W1W 7LT, United Kingdom ("Prodigy Finance").

1. Eligibility to participate in the Referral Programme:

Referrer:

To be eligible to participate in the Referral Programme as a Referrer,

  1. you must have one disbursed loan originated from 2021 onwards with Prodigy Finance. Exclusion: If your loan account is in arrears for 3 months or more, you will be ineligible to participate in the Referral Programme; or

  2. you have applied for a loan with Prodigy Finance, and paid the processing fee of 500 USD. Restriction: Additional limits apply on the number of successful referrals that will qualify for the referral awards for this eligibility criteria (see below).

Current employees and agents of Prodigy Finance or any of its subsidiaries or affiliated companies and their immediate families and members of their households and anyone otherwise connected with operation or fulfillment of the Referral Programme may not participate in the Referral Programme and shall not be eligible to receive referral awards. Residents of Michigan, USA are not eligible.

Referee:

To be eligible to participate in the Referral Programme as a Referee, you will need to be a new borrower who has applied for a loan with Prodigy Finance, which loan is subject to Prodigy Finance’s standard affordability checks. The following will also be required:

  1. You must be studying abroad.

  2. You must be admitted to a school and programme Prodigy Finance supports.

  3. You must reside in one of the countries Prodigy Finance supports.

  4. You must submit your loan application and pay the processing fee by 30 September 2025.

2. Referrals:

Prodigy Finance will generate referral codes (the “Codes”) and send these codes to each of the eligible Referrers via email from 09 July 2025. To make the required referrals, Referrers must send the Codes to their friends, family members, colleagues, or business acquaintances (the “Referees”) who may be interested in learning about or applying for a Prodigy Finance loan. To activate the referral, the Referee must register and apply for a loan with Prodigy Finance on its website and use the Code when prompted. The Codes shall be valid for use through to 30 September 2025, whereafter it shall expire automatically. A Referrer can only use one Code to make referrals.

3. Successful Referrals:

A Referral is successful if the Referee is not the Referrer or an existing Prodigy Finance borrower or have started a loan application with Prodigy Finance and i) starts a new loan application with Prodigy Finance and uses the Code in the loan application process, as directed by Prodigy Finance; ii) meets all the eligibility and underwriting criteria, and is offered a loan by Prodigy Finance ; and iv) accepts the loan and some or all loan funds are disbursed on or before 01 March 2026 (a “Successful Referral”).

4. Referral Award:

Referrers will qualify for the referral award(s), subject to their applicable eligibility criteria and terms specified below:

  1. Referrers with disbursed loans when making the referrals: Referral awards will be given in the form of an Amazon voucher to the amount of $100.00 per successful Referral. A maximum of 20 successful referrals are permitted per eligible Referrer for the duration of the Referral Programme. Indian resident Referrers are not eligible for gift voucher awards, but are eligible for up to twenty debt-write off awards of $100 each.

  2. Referrers with loan applications in progress when making the referrals: Referral awards will be given in the form of an Amazon voucher to the amount of $100.00 per successful Referral. A maximum of 20 successful referrals are permitted per eligible Referrer for the duration of the Referral Programme. Indian resident Referrers are not eligible for gift voucher awards, but are eligible for up to twenty debt-write off awards of $100 each.

  3. The Referees award: Referees will receive a $50 Amazon gift voucher towards the loan account of their first Prodigy Finance loan, provided they accept the loan and receive some or all of the disbursed funds on or before 01 March 2026.

  4. Non-Indian Residents Referrers:

    The Award is non-exchangeable, non-transferable and cannot be substituted for cash. Referral awards will be forfeited if the Referrer has settled his/her first Prodigy Finance loan when the award is due. The details of the gift voucher referral awards with instructions on how to redeem the gift voucher shall be sent by email to the Referrer within 90 days after a Successful Referral has been made. Gift vouchers are subject to their own terms and conditions, which may include limitations for their usage and validity periods.

  5. Indian Residents Referrers with loan applications in progress:

    The Award is non-exchangeable, non-transferable and cannot be substituted for cash. Debt write-off referral awards will be forfeited if the Referrer has settled his/her first Prodigy Finance loan when the award is due. Referrers and/or Referees will be notified via their monthly statement email after 90 days of each Successful Referral or by email. An Award shall be paid and applied to the Referrer’s and the Referee’s loan account 90 days after a Successful Referral has been made with the debt write-off reflecting on the monthly statement sent via email following the transaction.

5.Disclosure of information/privacy:

Referrers’ and Referees' names and contact details will be collected, stored and shared by Prodigy Finance in accordance with applicable law and Prodigy Finance’s privacy policy as necessary to conduct the Referral Programme.

6. Limitation of liability:

Except to the extent restricted in law, Prodigy Finance will not be liable or responsible for any direct or consequential damage, loss or injury resulting from the Referral Programme or a Referrer and Referee’s acceptance and/or use of an Award, or for technical, hardware or software failures, lost, faulty or unavailable network connections or difficulties of any kind that may limit or prohibit Prodigy Finance’s offering of or the Referrer’s ability to participate in the Referral Programme. A referral does not guarantee that Prodigy Finance shall accept or approve a loan application from a Referee and nothing in these Rules will oblige Prodigy Finance to approach a Referee to market or sell its product. Prodigy accepts no responsibility or liability if the Referrer’s contact details are incorrect or no longer valid. If Prodigy is unable to contact a Referrer to arrange for the delivery of the referral award(s), the referrals award(s) will be forfeited. Prodigy Finance makes no representations and provides no guarantees that the Amazon vouchers can be used in all jurisdictions and these vouchers are subject to their own terms and conditions, which may include expiry periods.

7. Prohibited conduct:

Referrers may only make referrals to personal contacts and indiscriminate bulk emails, texts, social media posts (whether manual or through the use of automated devices or third-party services) are strictly prohibited. Referrer agrees that (s)he will not publicly advertise Prodigy Finance’s products or name, solicit loan applications, request or accept any compensation from Referees or other parties to make referrals, collect any data or complete any application on behalf of another individual, nor make any misleading or untruthful statements about Prodigy Finance, its business and its products. Any Referrer who acts with regard to the Referral Programme in a manner, which in Prodigy Finance’s reasonable determination is contrary to these Rules or by its nature is unjust to other Referrers or Referees (including without limitation tampering with the operation of the Referral Programme; providing false or misleading information when making a referral; cheating; hacking; deception; annoying, abusing, threatening or harassing any other Referrers, Referees or Prodigy Finance and/or any of its agents or representatives; or any other unfair practices) may be excluded from the Referral Programme at Prodigy Finance’s sole discretion. Anyone who violates these Rules is ineligible for an Award.

8. No correspondence:

All Prodigy Finance’s decisions in relation to the Referral Programme are final and binding in all respects and are not subject to appeal. Questions about the Referral Programme can be sent by email to info@prodigyfinance.com. Prodigy Finance will not enter into any correspondence with Referrers in respect of the status or progress of referrals, as this relates to confidential information of Referees and our proprietary business practices.

9. Independent Contractor:

The Referrer agrees that (s)he will participate in the Referral Programme as an independent contractor and neither the Referrer nor Prodigy Finance intends to establish an employment, agency or similar relationship. By participating, Referrers confirm that they are not making referrals in the ordinary course of business.

10. Applicable Law:

The Referral Programme and these Rules are governed by and construed in accordance with English law and the courts of England and Wales will have exclusive jurisdiction in relation to any disputes. Where applicable, to the fullest extent permitted by law, any such dispute must be brought individually (NOT as part of a class action), with recovery being limited to one’s actual costs in conjunction with participation in the Referral Programme (if any) with all damages or other forms of recovery being expressly waived.

11. Taxes:

RECEIPT OF AWARDS BY REFERRERS AND/OR REFEREES MAY BE SUBJECT TO NATIONAL FEDERAL, STATE, PROVINCIAL, LOCAL AND FOREIGN TAX REPORTING AND WITHHOLDING REQUIREMENTS. BY ACCEPTING THE AWARD, REFERRERS EXPRESSLY UNDERTAKE TO SUBMIT REQUESTED DOCUMENTATION TO PRODIGY FINANCE TO PERMIT PRODIGY FINANCE TO COMPLY WITH ALL APPLICABLE TAX LAWS. ALL AWARDS WILL BE NET OF ANY TAXES PRODIGY FINANCE IS REQUIRED BY LAW TO WITHHOLD. ALL TAXES IMPOSED ON AWARDS ARE THE SOLE RESPONSIBILITY OF THE RECIPIENTS. In order to receive an Award, Referrers and/or Referees may be required to submit the tax documentation requested by Prodigy Finance or otherwise required by applicable law, to Prodigy Finance or the relevant tax authority, all as determined by applicable law, including, where relevant, the law of the potential Recipient’s country of residence. The potential Recipient is responsible for ensuring that (s)he complies with all the applicable tax laws and filing requirements. If a Referrer and/or Referee fails to provide such documentation or comply with such laws, the Award(s) may be forfeited.

12. Right to terminate Referral Programme or amend the Rules:

Prodigy Finance reserves the right to extend, modify, cancel, terminate or suspend the Referral Programme in whole or in part, at any time at its sole discretion. If and to the extent that the laws of the country in which Prodigy Finance offers funding, invalidates or severely restricts the operation of this Referral Programme, the Referral Programme shall be invalid, and residents of this country shall be excluded from participating in the Referral programme. Awards may be earned only on referred loans that have been funded on or before the date of termination. Prodigy Finance may amend the Rules at any time by posting updated Rules to https://prodigyfinance.com/ and/or emailing a copy of the updated Rules to eligible Referrers and/or Referees. Subject to applicable law, any undeliverable Awards shall be forfeited when the Referral Programme is terminated.
